For founders, CEOs, executive directors and boards

The outside executive in your corner when the decisions get hard.

Restructures. Leadership breakdowns. Boards and CEOs out of sync. Growth that outpaced the people running it. I sit beside the leader and at the leadership table, earn the trust of the people the decision touches, and carry the organization through the moves that cannot go wrong. Every engagement is me, directly.

When I am brought in
  • Upheaval and restructures
  • Boards and CEOs out of sync
  • Leadership breakdowns
  • Founders who outgrew the structure

We do not begin with a solution. We begin by determining whether the right problem has been identified.

Leading Through Change

Change doesn't fail on strategy. It fails on trust.

Most organizations know what they need to change. What stalls them is the people: a board that doesn't trust the CEO, a leadership team pulling in different directions, staff who have stopped believing the next announcement.

I come in as the person every level can trust. The board, the leadership and the staff each get a straight read and a steady hand, so the hard decisions can actually be made and carried out.

01 · UPHEAVAL

Organizations in upheaval

Leadership turnover, restructures, funding shocks, a culture that has turned on itself.

02 · GOVERNANCE

Boards and CEOs out of sync

Governance, accountability and the conversations nobody wants to lead.

03 · GROWTH

Founders who outgrew the structure

The company got bigger than the way it is run, and the founder knows it.

It may get harder before it gets better. The difference is that you are not carrying it alone.

The Seat Beside the Leader

Every leader needs one person with no agenda but theirs.

Your board has a fiduciary duty. Your team needs you to have the answer. Your advisors each see one slice. The Consigliere sees the whole board: the people, the power, the money and what happens three moves out.

A private, ongoing seat for one founder, CEO, executive director or board chair. Paid personally or by the organization. Not coaching, not therapy, not consulting and not legal advice. A seat beside you.

I personally review every request and respond within one business day.

The Hidden Cost

Every organization pays The Leadership Tax™.

Most organizations measure revenue, expenses, productivity, and growth. Far fewer measure the organizational conditions quietly reducing each one.

Workplace Intelligence™ Concept

The Leadership Tax™ is the financial and operational cost created when leadership decisions, organizational systems, accountability, communication, and execution are not fully aligned.

It is paid through lost time, repeated work, preventable turnover, delayed decisions, underused talent, stalled initiatives, customer impact, and revenue that never reaches the organization.
01

Delayed Execution

Decisions slow down when authority, priorities, or accountability are unclear. The organization loses time while opportunities move on.

Impact: slower growth and missed opportunity
02

Leadership Misalignment

Teams receive competing priorities, inconsistent messages, and conflicting direction that weaken execution across the organization.

Impact: rework, confusion, and reduced performance
03

Duplicated Effort

Poorly designed systems force people to repeat work, recreate information, and compensate for gaps the organization has normalized.

Impact: higher operating cost and lower capacity
04

Preventable Turnover

Employees often leave conditions rather than companies. Replacement costs are visible. The loss of trust, knowledge, and momentum is not.

Impact: talent loss, disruption, and replacement expense
05

Lost Revenue Capacity

Organizational friction consumes the time and energy that should go toward customers, innovation, sales, and strategic growth.

Impact: revenue potential that never materializes
06

Invisible Until Expensive

The Leadership Tax™ rarely appears as one line on a financial statement. It appears across many lines after the damage has accumulated.

What is your organization paying for, and why?
The Financial Pathway

Financial results are downstream from organizational conditions.

Revenue, profitability, retention, customer experience, execution, and growth are not isolated outcomes. They are shaped by the conditions inside the organization long before they appear in a report.

  1. Organizational Conditions
  2. Leadership Decisions
  3. Organizational Friction™
  4. The Leadership Tax™
  5. Financial Outcomes

The question is not whether your organization is paying The Leadership Tax™. The question is whether leadership can see where it is being created before it becomes a business outcome.

The Diagnostic Difference

Most organizations respond to what is visible. We examine what is creating it.

What leadership sees

Observable problems

  • Revenue pressure
  • Turnover and disengagement
  • Delayed execution
  • Leadership conflict
  • Inconsistent decisions
  • Declining organizational capacity

Commonly treated as the problem itself.

The Intelligence Layer

Moves beneath the signal to identify the organizational condition creating it.

What shapes the outcome

Organizational conditions

  • Leadership alignment
  • Decision architecture
  • Accountability systems
  • Communication patterns
  • Organizational design
  • Accumulated operating norms

Often where the real problem begins.

The Conditions Beneath Performance

Organizations do not become misaligned overnight. Conditions accumulate.

Visible business problems are often the final expression of conditions that have been developing for months or years. We examine them before leadership selects a solution, restructures a team, launches another initiative, or assumes the problem is individual performance.

06 · CAPACITY

Constant urgencyDeclining qualityStrategy deferred

The diagnostic question: what conditions must be present for this organization to keep producing the outcome leadership says it wants?

The Workplace Intelligence™ Lens

A disciplined way to understand why you are getting your current results.

We do not start by recommending a program, initiative, structure, or solution. We start by determining what conditions are present, how they developed, and which intervention sequence is most likely to improve the outcome.

01

Identify Conditions

Determine what is shaping leadership behavior, decision quality, accountability, communication, execution, and performance.

02

Interpret Patterns

Reconstruct how decisions, systems, norms, and operating responses built up into the organization's current state.

03

Sequence Decisions

Decide which conditions to address first, so leadership does not fix a downstream symptom and leave the cause intact.

04

Strengthen Outcomes

Align systems and leadership decisions with the business outcome the organization is trying to produce.

Client details are anonymized. Industry, headcount, and situation are accurate.

Technology / SaaS · 162 employees · 4 states

A four-year-old handbook in four states

The handbook covered one state, cited law for a state with no employees, and had an arbitration clause unenforceable in two.

Rebuilt handbook with state addenda delivered in 18 days.

Contractors who would not survive an audit

Eight of eleven failed the IRS common-law test. Six had no written agreement.

$500,000+ in exposure identified and remediated before any inquiry.

A senior termination with no documentation

Fourteen months of verbal performance talks, nothing written, and an attorney already involved.

Clean separation with a signed release. No litigation.
Retail / eCommerce · 110 employees · 6 states

Expansion without compliance

Three new states, no postings, noncompliant sick leave, and a state agency inquiry already open.

Inquiry answered with remediation in place. No fine issued.
Manufacturing · 88 employees

An EEOC charge and an empty file

The named employee's file held one document. Most of the workforce had no performance records.

Charge resolved with no adverse finding.

New managers, no framework

Three first-time managers making pay and discipline calls, with two situations showing retaliation risk.

Both situations resolved. Grew to 41 employees with no charges.

The Diagnostic: Leadership Tax and People Infrastructure

Find out where you are exposed before something forces you to.

  • Policy InfrastructureHandbooks, at-will language, arbitration clauses, and state addenda that hold where your people actually work.
  • Worker ClassificationWhether your contractors would survive an IRS common-law or ABC test review.
  • Documentation and RecordsPersonnel files, performance records, acknowledgments, and I-9s that hold under adversarial review.
  • Separation and OffboardingPre-termination documentation, protected activity review, and enforceable separation agreements.
  • Investigation ProtocolsComplaint intake, investigation frameworks, and response architecture for agency charges.
  • Federal and State CompliancePostings, paid leave, pay transparency, wage and hour, and final pay across every state you operate in.

Timing Is The Variable

The finding exists either way. The difference is the timeline and the cost.

Area
Found in the diagnostic
Found through enforcement
Classification
Written framework, reclassification plan, and voluntary settlement filed before any inquiry, at roughly 10% of one year's employment taxes.
IRS audit with a six-year lookback, penalties on wages paid, and the voluntary settlement window permanently closed.
Separation
Pre-termination documentation strategy and an enforceable separation agreement. Defense begins from strength.
Wrongful termination claim with $75K to $300K+ in defense costs, and uncapped verdicts in some states.
Investigation
Intake process, investigation protocol, and response architecture in place before the complaint arrives.
A retaliation charge, the most filed EEOC category for 17 straight years, with no response architecture ready.
Compliance
Multi-state gaps fixed and a compliance calendar built before an agency asks.
An agency inquiry arriving before remediation, with exposure for every month the gap existed.

The diagnostic starts at $15,000, and the fee can be credited toward the fix. The enforcement alternative often costs $75,000 to $300,000+ before a verdict is read. The only variable is timing.

The quality of the solution can never exceed the quality of the diagnosis that came before it.

Organizations rarely lack effort, ideas, or solutions. More often, they lack an accurate enough diagnosis of the problem they are trying to solve. Every engagement is done by me directly. No associates, no templates, no junior staff.

Questions

Answers before you ask

What is a consigliere?

The trusted counsel at the right hand of a leader. Not a coach, not a consultant and not an employee. One experienced person whose only agenda is helping you see clearly and move well.

What is the difference between The Consigliere and Organizational Advisory?

The Consigliere is for the leader personally. Organizational Advisory brings me to the leadership table and into the organization. Many engagements start with one and grow into the other.

Do you work with boards?

Yes. Some of my most important work has been with boards and leadership teams through major change.

Who pays for The Consigliere?

Either the leader or the organization. Many organizations treat it as an investment in their most important seat.

How do we know which engagement is right for us?

Start with a 20-minute scoping call, by request. From there, the People Infrastructure Diagnostic shows exactly what needs attention and in what order, and any further scope flows from that report.

What does the People Infrastructure Diagnostic cost?

It is priced by headcount: $15,000 for up to 75 employees, $25,000 for 76 to 250, and $35,000+ for 251 to 500. The written Exposure Report arrives within 10 business days. You can pay in up to three installments, and the full fee is credited toward a Build or Advisory engagement that starts within 30 days.

We already have an employee handbook. Do we need a new one?

Maybe not. The diagnostic tells you whether your handbook is enforceable, current, and right for your size and jurisdictions, or whether it is creating more risk than it removes.

We only operate in one state. Is this still relevant?

Yes. Single-state employers still face federal requirements, wage and hour exposure, classification risk, and documentation obligations.

What if our situation is urgent?

Mark it urgent when you reach out. For an active EEOC charge, live complaint, or termination that needs strategy now, submissions before 3 PM ET get a same-business-day response, and rush engagements are available.

Why do you work with companies the big firms won't take?

That is where one experienced executive changes the most, and where the large firms won't go. Many require a minimum headcount before they will engage. I don't. Fit depends on the complexity of the situation, not on the size of your payroll.

Are you an HR consultant?

HR is one part of the work. I work with the CEO and leadership team on execution, organizational design, liability, governance, and the decisions where people, power, and money meet. I've led those decisions from the CEO, COO, CAO and CHRO seats.

How is this different from a PEO or a fractional HR provider?

A PEO runs payroll, benefits, and compliance administration. Fractional HR runs HR operations. I work one level up: I diagnose what is costing you money and exposure, then advise the leadership team on what to change and in what order. Many clients keep their PEO and use me for judgment.

Is there a minimum company size?

No. Fit depends on the complexity of the situation, not on headcount.

Is this legal advice?

No. Workplace Intelligence is not a law firm and nothing here is legal advice. When a situation needs an attorney, Noël will say so.
